The four clauses to check before anything else
Whether you use our decoder or your own eyes, decades of buyer-side reviews keep landing on the same four places where the money hides.
1 Renewal mechanics. Does it renew automatically, on how much notice, and who has to act? A 90 day notice window on a contract nobody calendars is a one way door with the vendor holding the handle.
2 Price change language. What can move, by how much, and against what index? "Then-current list price" with no cap is not a price term, it is a blank check with a delay on it. A compounding uncapped uplift is the single most expensive sentence in most software contracts.
3 The metric definitions. What exactly is a "user," a "core," an "employee"? Metric drift is how a flat price grows anyway: the count changes definition mid-term and the invoice follows. If the definition section is vague, the price section is fiction.
4 Exit and audit rights. Can you reduce quantities at renewal, terminate for convenience, and get your data out? And when the vendor audits, on what notice, at whose cost, under what conduct rules? These clauses are worth nothing until the day they are worth everything.
