AWS#
Discount Depth Protection#
EDP headline discount locked at signed percentage for the full term. PPA per-service discounts locked at signed percentage. Rate-card protection: if AWS raises published prices, your committed-rate discount remains constant in absolute percentage terms, protecting effective price.
Flexible MACC#
MACC capped at 85 to 90% with quarterly true-up and roll-forward rights on unused commitment. Seasonality carve-outs for known usage patterns. No cliff penalties for missing monthly commitment within a quarter.
Commitment-Shift Rights#
Right to reallocate committed spend between services (EC2 ↔ S3 ↔ RDS ↔ Lambda) at year-end without penalty. No minimum-service-level commitments that block portfolio optimization.
Egress Protection#
Tiered egress pricing with PPA discounts on data transfer above defined thresholds. Inter-region transfer pricing capped. CloudFront and S3 egress covered by PPA discount depth uniformly.
Termination for Convenience#
Right to reduce or terminate commitment with 90 to 180 days’ notice at year-end with pro-rata adjustment. Standard EDP contracts are effectively non-cancellable, push for convenience exit on any 3+-year term.
Data Portability and Migration#
Full data export rights in standard formats. 180-day post-termination data access window. No egress fees on termination-triggered data export. AWS covers reasonable migration support costs on strategic account terminations.
Benchmarking Rights#
At each commitment anniversary, right to benchmark EDP and PPA pricing against comparable AWS enterprise deployments. Material gap (10%+) triggers good-faith renegotiation of residual term.

Microsoft Azure#
MACC headline discount locked at signed percentage for the full term. AHB eligibility audit conducted at signing with documented SKU-level application. RI/SP discount depth locked. Rate-card protection: if Microsoft raises published Azure prices, committed-rate discount remains constant in absolute percentage terms.
MACC with mid-term reduction rights (15% reduction at year-2 without penalty). Quarterly true-up at committed rate within 20% of commitment. Seasonality flexibility for known usage patterns. No cliff penalties for monthly commitment misses within a quarter.
Bundle Decomposition#
Line-item pricing for every EA component: Azure MACC, M365 E5, Dynamics 365, Power Platform, Fast Track consulting. No portfolio-level pricing that obscures per-product economics. Right to drop individual components at renewal without portfolio repricing.
AHB Protection#
Documented AHB eligibility at signing. Commitment from Microsoft to audit AHB application quarterly. No retroactive AHB removal without 90-day cure period. If Software Assurance terms change, AHB transition rights to alternative Azure discount mechanism.
Service-Level Credits#
Service-level credit rights for downtime and performance issues applicable as credit against MACC consumption. Credit rates negotiated at EA signing, not deferred to contract execution.
Right to reduce or terminate commitment with 90 to 180 days’ notice at year-end with pro-rata adjustment. Standard MACC is effectively non-cancellable, push for convenience exit on any 3+-year commitment.
At each commitment anniversary, right to benchmark EA and MACC pricing against comparable Azure enterprise deployments. Material gap (10%+) triggers good-faith renegotiation of residual term.

Google Cloud#
Custom-contract headline discount locked for full term. CUD and sustained-use discount rates protected. Rate-card protection: if Google raises published prices, committed-rate discount remains constant in absolute percentage terms.
Commitment Flexibility#
Mid-term reduction rights (15% reduction at year-2 without penalty). Quarterly true-up at committed rate within 20% of commitment. Spend-based CUDs preferred over resource-based for workload flexibility. Seasonality carve-outs for known usage patterns.
Service-Shift Rights#
Right to reallocate committed spend between services (Compute Engine, Cloud SQL, BigQuery, Vertex AI) at year-end without penalty. No minimum-service-level commitments that block portfolio optimization.
Tiered egress pricing with negotiated rates on data transfer above defined thresholds. Dedicated Interconnect pricing for high-volume data movement. Cloud CDN pricing at strategic-account rates.
BigQuery Flexibility#
Right to convert between BigQuery on-demand and Editions annually based on query volume. Slot commitment flex up/down at year-end with 60-day notice.
Right to reduce or terminate commitment with 90 to 180 days’ notice at year-end with pro-rata adjustment. Standard GCP custom contracts are effectively non-cancellable, push for convenience exit on any 3+-year term.
Data Portability#
Full data export rights in standard formats. 180-day post-termination data access window. Egress waivers on termination-triggered data export. Google covers reasonable migration support on strategic terminations.
At each commitment anniversary, right to benchmark custom-contract and CUD pricing against comparable GCP strategic deployments. Material gap (10%+) triggers good-faith renegotiation of residual term.

Databricks#
Discount depth disappears at renewal without structural protections. These clauses should appear in every Databricks enterprise agreement.
Per-DBU Price Protection#
Per-DBU rate locked for the full term at signed discount tier, across all workload SKUs. Annual uplift at renewal capped at lower of US CPI or 3%. No mid-term re-pricing under workload-mix language.
Cross-Workload DBU Fungibility#
Unified DBU commitment pool across SQL, ML, Workflows, Model Serving, and Serverless workloads. Unused commitment in one workload flows to offset overage in another at committed-tier pricing. No workload-specific silos that punish mix shifts.
Workload Expansion Pricing#
Consumption above committed DBUs priced at the same discount tier as base commitment. Published per-DBU rates in the order form, differentiated by workload type where applicable, with automatic re-tiering into higher commitment bands at parity.
Serverless Commitment#
Serverless SQL and Serverless Model Serving DBUs committed at signing with published rates, rollover, and fungibility to non-serverless workloads. No premium pricing trap on post-signing serverless migration.
Unity Catalog Flexibility#
Unity Catalog and Delta Sharing tied to documented deployment milestones. Right to deactivate governance components that slip adoption milestones without penalty, with discount on remaining DBU commitment preserved.
Quarterly Rollover and Annual Re-Baselining#
Unused committed DBUs roll forward quarterly within the term. Annual re-baselining right: if consumption lags commitment by more than 15% in year one or two, commitment resets to actual consumption plus 25% headroom for remaining years without penalty.
Non-Renewal Notice Window#
60 days' notice to non-renew, effective on delivery. Auto-renewal only at the same discount tier and commitment structure, never at a reset list rate.
Benchmarking Clause#
Right to benchmark renewal pricing against comparable Fortune 500 Databricks customers annually. Pricing exceeding documented benchmarks by 10%+ triggers good-faith renegotiation within 30 days.
